Why governance matters
This governance structure helps protect member interests, maintain transparency, support regulatory compliance, strengthen internal control, and ensure that programs and services are delivered responsibly. Through the shared work of the General Assembly, Board of Directors, committees, and officers, the cooperative is better positioned for sustainable growth and long-term member benefit.
General Assembly
The General Assembly, composed of all voting members duly assembled with a quorum, is the highest policy-making body of the cooperative. It exercises key non-delegable powers, including amending the Articles of Cooperation and By-laws, electing or removing members of the Board for cause, and approving development plans that guide the cooperative’s growth and direction.
Board of Directors (BOD)
The Board of Directors provides policy direction and strategic oversight for the cooperative. It formulates and reviews development plans, budgets, and organizational structures; appoints key personnel and committee members; establishes systems for risk management and performance evaluation; ensures regulatory compliance; evaluates programs; and reports performance to the General or Representative Assembly.
